Bylaws

 

 

EFFECTIVE:  February 23, 2004

ARTICLE I

 

NAME:  This organization shall be called Newport Elementary School Parent Teacher Organization (NES PTO).

 

MEMBERSHIP:  PTO membership fee shall be $2.00 per family annually.

 

BYLAWS:  PTO Bylaws shall be available upon request for viewing by membership at each meeting.

 

ARTICLE II

 

PURPOSE:  The purpose of this organization shall be to promote the welfare of Newport Elementary School and the students therein, to bring into closer relation the parents and the school and to support the activities and programs of the school through financial and/or voluntary support.

 

ARTICLE III

 

POLICIES:  This organization shall be a non-profit organization.  The use of funds, dues, and proceeds derived by this organization shall be for the benefit and improvement of the school.  The funds may not be used to support any organized charitable drive.

 

This organization shall not seek to direct the administrative activities of the school or to control its policies.

 

In the event of the dissolution of the organization, a committee shall be immediately appointed by the organization to disburse all funds on hand within thirty days of the dissolution date.  Such disbursement shall be for the benefit of the school, under the laws of the State of North Carolina.

 

ARTICLE IV

 

OFFICERS AND THEIR ELECTION:  The officers of the organization shall be a President, Vice-President, Secretary, Treasurer, Parliamentarian, and Communications Representative who shall be chosen from among those who are members in good standing of the organization.  The elected officers shall sign authorization for the NES PTO to obtain a background check (at PTO expense) prior to taking office.

The Executive Committee shall consist of the President, Vice-President, Secretary, Treasurer, Parliamentarian, and the Principal or Vice-Principal.  The Executive Committee may make decisions on an ad hoc basis between meetings. The Executive Committee shall meet once a month.  There shall be ten Executive Committee meetings for the school year.  Executive Committee members shall be required to attend no less than seven executive committee meetings.  They will be advised after two absences and resignation will be required after the third absence.

 

These offices shall be held for two years.  Elections shall take place in the spring prior to the close of the academic year.  Officers shall assume their duties immediately following the close of the elementary school academic year.  Officers shall be restricted to two consecutive terms in the office served.  The offices of President, Vice President, Secretary, Treasurer and Parliamentarian shall be elected such that staggered terms will enable continuity of the Board from year to year. 

 

The Nominating Committee shall consist of two members of the Executive Committee and two persons from the membership.  The nominating committee shall select the candidates for the offices mentioned above and present a slate of officers to the membership at the meeting prior to the last meeting of the school year.  Election and installation of officers shall be at the final meeting.  Additional nominations may be made from the floor and voting shall be limited to nominees.

 

All elections shall be by majority vote of the Executive Committee.  The newly appointed officer would serve for the remainder of the current term. 

 

The principal of Newport Elementary School shall be the official representative of the school and shall present all suggested projects to the proper school officials for approval.

 

            ARTICLE V

 

DUTIES OF OFFICERS

 

PRESIDENT:  The President shall preside at all meetings of the organization and of the executive committee, shall appoint the committees and committee chairmen, and shall perform all other duties pertaining to the office.

 

VICE-PRESIDENT:  The Vice-President shall take charge of all responsibilities of the president in his/her absence.   He/she shall also work in any capacity delegated by the president and executive committee for the fulfillment of all school related activities, fundraisers, etc.  Shall be responsible for membership and any program segments of regular meetings and shall work with teachers to correlate PTO meetings with school programs.

 

SECRETARY:  The Secretary shall keep a complete record of the proceedings of each meeting and read the minutes for approval, and shall perform other such duties as may be delegated.

 

TREASURER:  The Treasurer shall collect all dues and money forthcoming from any and all projects and make a clear record of the same and report thereon to the membership and Executive Committee at each meeting.  The Treasurer shall pay all bills and accounts against the organization when properly certified.  All bank accounts will need dual signatures for the writing of checks and withdrawals.  Both signatures must be those of PTO officers.  The Treasurer will follow through on all efforts to claim money due to the PTO that the executive committee sees fit to act on.

 

PARLIMENTARIAN:  The Parliamentarian shall govern this organization in accordance with Roberts Rules of Order, Newly Revised in all cases which are applicable and are not inconsistent with these bylaws.

 

COMMUNICATIONS REPRESENTATIVE:  The Communications Representative shall gather, provide and report information to the staff, parents and community related to PTO meetings, activities, fundraisers and other events as directed by the president.  The Communications Representative shall be responsible for producing the PTO newsletter, making sure that the Phone Master is activated, the marquee display is changed, the PTO web site is updated and the reproduction of handouts and reports for all meetings.  In addition the Communications Representative shall promote PTO related business utilizing the local newspaper, radio and TV stations and shall perform other such duties as may be required. 

 

EXECUTIVE COMMITTEE:  The Executive Committee may transact business of the organization up to $300.00 if necessary.  However, no action shall be in conflict with that taken by the voting body of the organization.

 

The executive committee will discuss and vote on matters to be brought before the entire PTO body for general voting.

 

The executive committee will have the final decisions on which companies to use for fundraising events.

 

All requests for funds from the PTO will be put in writing for submission to the committee.

 

ARITCLE VI

 

COMMITTEES:  Committees are formed to provide a specific service for two years.  Committee may be appointed or dissolved by the Executive Committee.

 

Coordinators support service functions within the school and representatives serve as liaisons as needed.

 

ARTICLE VII

 

MEETINGS:  Meetings for the general membership of Newport Elementary School’s PTO will be held bi-monthly on a predetermined date and time.  No less than four general meetings shall be held.

 

The privilege of holding office, making motions, debating and voting (one member per family) shall be limited to representatives of the organization whose dues have been paid.

 

ARTICLE VIII

 

AMENDMENTS:  These bylaws may be amended at a regular meeting of the organization by a two-thirds vote of the members present and voting provided the proposed amendment has been presented through the executive committee and has been read at the previous meeting of the organization.

 

ARTICLE IX

 

PARLIMENTARY AUTHORITY:  Robert’s Rules of Order shall govern the NES PTO in all cases to which they are applicable and in which they are consistent with these bylaws.
